TERMS AND CONDITIONS

RAFFLE TICKET ORDERS
The price for each raffle ticket is $75. No more than 1,000 raffle tickets will be sold. Any prize awarded with respect to any ticket will be awarded to the person named on the raffle ticket order form. The person named on a raffle ticket order form cannot transfer by sale, gift or other means any interest in the ticket, any attempted transfer shall be null and void, and NDI-NM shall not be required to honor any such transfer. NDI-NM is not responsible for lost, misdirected, late, non-delivered, or other failed efforts to submit a timely ticket order. All ticket orders must be received and fully paid prior to the drawing date of May 15, 2010 in order to be valid. The IRS does not consider the purchase of a raffle ticket to be a tax-deductible charitable contribution. All sales are final.

WINNING THE PRIZE
Winner need not be present at the drawing; winner will be notified by phone and/or mail. NDI-NM will make reasonable efforts to contact the persons named on a winning raffle ticket order form, using only the information on the winning raffle ticket order form. All prizes must be claimed by winner within sixty (60) days from date of drawing. The person named on a winning raffle ticket order form agrees, as a condition to being eligible to receive any prize, to provide written information as is required by any applicable tax laws, including without limitation his or her Social Security Number and proof of identity in forms satisfactory to NDI-NM showing that the person claiming the prize is the same person who is named on the winning raffle ticket, and to complete, sign and deliver such withholding, certification and other forms as may then be required by the IRS and other governmental agencies.

Trip of a Lifetime in Thailand - grand prize vacation package includes seven (7) days at Samudra Villa, a luxurious private villa located on Laem Set Beach in Koh Samui, Surat Thani, Thailand. Samudra Villa is available from May 16, 2010 to May 15, 2011 and is subject to availability and conditions as stated by the Property Manager, Island Properties Service Ltd (IPSL) Terms and Conditions. Terms and Conditions and details of Samudra Villa may be viewed at http://www.samuivillasandhomes.com/samui-luxury-villa-76.html. All arrangements and reservations for Samudra Villa are to be coordinated by the winner directly with IPSL. Winner is responsible for any/all security and cleaning deposits, and damages to the property associated with their stay. Round trip air travel certificates for two (2) valid between any city in the United States, served by United Airlines, to Bangkok, Thailand; and round-trip travel vouchers for two (2) from Bangkok, Thailand to Ko Samui, Thailand are included. Travel vouchers and certificates are subject to space availability, capacity limitations and other applicable restrictions of the airlines at the time reservations are made. IPSL, United Airlines, and NDI-NM, are not responsible if travel vouchers/certificates are lost or stolen. Arrangements for alternative departure/arrival cities; connections; seat/class upgrades; baggage fees; ground transportation; meals/beverages; entertainment and other activities; and gratuities are at the discretion and expense of the winner. Comprehensive travel and health insurance for each traveler is required by ISPL and is the responsibility and expense of the winner.

WINNING THE RAFFLE
NDI-NM does not provide any guarantee, agreement, representation or warranty, express or implied, in connection with Trip of a Lifetime in Thailand. NDI-NM does not make any guarantee, agreement, representation, or warranty as to the value of the trip. The winner acknowledges that government authorities may place a different value on the trip than its initial or current list price in determining any income, property, transfer, or other taxes or fees that may be attributable to the prize.

TAXES AND WITHOLDINGS
All prize winners are solely responsible for paying and reporting, as and when required by law, all income taxes and any other taxes and expenses attributable to the prize, whether or not NDI-NM takes any withholding for taxes from that amount, and each winner authorizes NDI-NM to withhold from any prize any and all amounts required to be withheld by applicable law and shall indemnify, defend, protect and hold harmless NDI-NM against all claims relating to such taxes and expenses. Raffle prize is valued at $24,000.

 

LIMITATION OF LIABILITY/HOLD HARMLESS AGREEMENT
Each person who purchases a raffle ticket and/or whose name appears on a raffle ticket order form: (a) acknowledges and agrees (for himself/herself and for every successor in interest) that the terms stated in this instrument are also conditions of NDI-NM’s obligations hereunder, and that any obligation of NDI-NM is limited solely to its undertaking to provide a prize to the winner of the drawing as herein provided, subject to the stated terms and conditions, and that NDI-NM shall in no event be subject to any other obligation or liability, including but not limited to, any consequential, special or punitive damages of any kind; (b) agrees that NDI-NM, its directors, officers, employees, agents, representatives are not responsible for any injuries, losses or damages of any kind arising in connection with, or as a result of, this raffle and/or that person’s failure to win or redeem any prize, or that person’s award of, acceptance of, or use of, any prize; and (c) releases and agrees to indemnify, defend, protect, and hold harmless NDI-NM its officers, directors, shareholders, employees, agents, contractors, insurers, attorneys and affiliated entities from and against all losses, damages, rights, claims and actions of any kind arising in connection with, or as a result of, this raffle and/or that person’s failure to win or redeem any prize; and (d) represents and warrants to NDI-NM that he/she has read and understands these Terms and Conditions and agrees to be bound by these Terms and Conditions and NDI-NM decisions, which will be final. v.1/2010
